terms of service To be an authorized affiliate/contractor of www.strongfamilyfund.com, you agree to abide by the terms and conditions contained in this agreement. SFF AFFILIATE/CONTRACTOR AGREEMENT This Agreement sets forth the terms of our Affiliate/Contractor Program. This Agreement is entered into by and between Strong Family Fund ("Company"), and applicant ("Affiliate/Contractor"). 1. The affiliate/contractor must be at least 18 years of age. 2. As a Strong Family Fund Affiliate/Contractor, you are considered an Affiliate/Contractor, and are appointed by the Company only for the purposes and to the extent set forth in this Agreement. The Affiliate/Contractor also acknowledges to not being entitled to any Company employment rights or benefits. Affiliate/Contractor shall bear any and all costs or expenses incurred by Affiliate/Contractor to perform its obligations under this Agreement, including, but not limited to, vehicle insurance, travel expenses and telephone expenses. The Company shall not withhold, from sums becoming payable to the Affiliate/Contractor hereunder, any amounts for State or Federal Income Tax, or for FICA (Social Security) Taxes, during the term of this Agreement. The Affiliate/Contractor shall not be considered as having an employee status. In the event that the Internal Revenue Service should determine that the Affiliate/Contractor is, according to I.R.S. guidelines, an employee subject to withholding and Social Security contributions, the Affiliate/Contractor shall acknowledge, as the Affiliate/Contractor acknowledges herein, that the Affiliate/Contractor is responsible for all Income Taxes and Social Security payments thereon. 3. This agreement can be canceled at anytime, by either party without reason. Thirty days written notice is required. 4. Affiliate/Contractor shall indemnify and hold Company harmless of and from any and all claims or liability arising as a result of negligent, intentional or other acts of Affiliate/Contractor or its sales affiliates or representatives. Company shall indemnify and hold Affiliate/Contractor harmless of and from any and all liability attributable solely to the negligent, intentional or other acts of Company or its employees. 5. Strong Family Fund reserves the right to change the terms of this agreement or program terms as necessary. Upon any material changes, we will notify you by the email address we have in our records. At any time that this Agreement or Program terms are amended to further protect the parties involved or improve the program, revised link to each program will be posted at: Program Terms - http://www.strongfamilyfund.com/workfromhome/workfromhome.html Frequently Asked Questions - http://www.strongfamilyfund.com/workfromhome/affiliate_faq.html The affiliate/contractor is considered in agreement with all changes to the agreement and program terms if they continue with the program. 6. This Agreement shall be governed and construed in accordance with the laws of the State of Florida. Any controversy or claim arising out of or relating to this Agreement, or breach thereof, and which is not settled between the parties and the American Arbitration Association, with hearings to take place in Tampa, Florida or another mutually agreed upon location. Judgment upon the award rendered by the arbitrator, may be entered in any court having jurisdiction thereof. 7. In the event it becomes necessary to enforce this Agreement through the services of an attorney, Affiliate/Contractor shall be required to pay Company's attorney's fees if the action is initiated by the Affiliate/Contractor. 8. Nondisclosure and Non-competition. (a) At all times while this agreement is in force and after its expiration or termination, Affiliate agrees to refrain from disclosing Company’s customer lists, trade secrets, or other confidential material. Affiliate agrees to take reasonable security measures to prevent accidental disclosure and industrial espionage. (b) While this agreement is in force, the Affiliate agrees to use [his/her] best efforts to market the company website and preforeclosure assistance program and to abide by the nondisclosure and non-competition terms of this agreement. After expiration or termination of this agreement, Affiliate agrees not to compete with Company for a period of 3 years within a 300 mile radius of Company. This prohibition will not apply if this agreement is terminated because Company violated the terms of this agreement. Competition means owning or working for a business that provides Loss Mitigation Services or Audit Services to the general public. 9. This Agreement contains the entire agreement between the parties and any representation, promise or condition not incorporated herein shall not be binding upon either party.
